ベンチャー経営においては、取締役間の日程調整が困難なため、法律に定められている形式の取締役会を必ずしも行っていないのが現状である。本稿では、その課題を解決するために、ネットワークを活用した取締役会を提案する。
政府は、「大学発ベンチャーを3年間に1,000社育成」という政策を打ち立てて、具体的なプランを進行中である。筆者は、慶應義塾湘南藤沢キャンパス（SFC）において、SFC発のベンチャー・ビジネス・インキュベーションの仕組み作りを研究するSFC Incubation Village研究コンソーシアム（http://www.siv.ne.jp）の活動に携わっている。この過程において、大学発ベンチャー企業の育成には、ネットワークを活用したコミュニケーション支援が重要であることが明らかになった。
本稿では、その中でもネットワークを活用した取締役会の実現にフォーカスを当てる。これは、創業後間もないベンチャー企業にとっては、日程調整の難しさなど、取締役会の開催にはさまざまな課題が伴うからである。現在、遠隔による取締役会は、「議論を行うことができて、かつ画像・音声の両方を利用した場合のみ認められる」ということが、平成8年の法務省による見解である。現在はこの条件の範囲内において、遠隔による取締役会の運用が試みられている。今後は法務省の見解について事例を蓄積することにより、法的効力の幅などを具体化していく必要がある。またそれと同時に、大学発ベンチャー企業の育成のためには、ネットワークを活用したコミュニケーション支援が重要であるという実態を把握しながら、ネットワークを活用した取締役会の検討を進めていく必要がある。
本稿では、ネットワークの遠隔、非同期、文字ベースなどの特性を生かしながら、遠隔会議システム、Mailing List、Instant Messengerの3種類の手法を用いて、法的に効力のある取締役会の実現を試みる。提案した手法のフィージビリティの検証のための実験を行い、その後、法的効力を検証するために登記した法人にて運用を試みる。その結果をもとに、被験者へヒアリングを行い、その手法の有効性の評価を行う。また弁護士、法務局にヒアリングを行い、その法的効力に関する評価を行う。その結果を通じて、ネットワークを活用した取締役会の有効性を示す。

It is a fact that in venture management, board meetings are not necessarily held in the legally required fashion. In this study, a method for using the network for board meetings will be proposed in order to solve this situation.
The government has created and is in the process of carrying out its policy of "nurturing 1000 university launched companies in three years". As a model case for this policy the SFC Incubation Village (SIV) (http://www.siv.ne.jp) was created to research the feasibility of this policy. The author has been acting leader for the launching of this research group. During this process, the significance of network aided communication was recognized as important for the growth of university incubated ventures. In this study, particular focus was placed on remote board meetings through the use of the Internet. This is because for newly started venture businesses, obstacles such as member scheduling hamper the realization of the actual meetings.
As of 1996, remotely held board meetings are approved by the Ministry of Justice when "discussion is possible, and both image and voice is used". Currently remotely held board meetings have been tried under these terms. In the future, specific examples must be collected to clarify the extent of the effects of this law. At the same time, in order to nurture growth of university started venture businesses, remote board meetings using the Internet must be used more and more with the understanding that Internet supported communication is important.
In this study, keeping in mind the remote, asynchronous and text based characteristics of the Internet, remote board meetings with legal validity will be tried using three methods, remote conference systems, mailing lists, and Instant Messenger. Experiments will be held to test the feasibility of the proposed solution. Later legal validity will be tried through the actual application to real companies. Evaluation of actual feasibility and legal validity will be done through interviews with the companies, lawyers and the Ministry of Justice. The results will show the validity of remote board meetings using the Internet.
